Welcome to Preparya.

These Terms of Use govern your access to and use of Preparya, including our website, image-processing tools, projects, account features, and paid subscription plans.

By creating an account, purchasing a subscription, or using Preparya, you agree to these Terms.

1. Using Preparya

Preparya provides tools for preparing and processing images, including background removal, resizing, format conversion, and related project and output management features.

You may use Preparya for personal or business purposes, subject to these Terms and the limits of your selected plan.

You are responsible for ensuring that your use of Preparya complies with applicable law.

2. Your Images and Content

Preparya acts as a technical image-processing service.

You remain responsible for the images, files, and other content you submit to Preparya, including any rights, permissions, licenses, consents, or authorizations that may be required for you to use, upload, process, or distribute that content.

Preparya does not verify ownership or legal rights in user-submitted images and does not assume responsibility for disputes, claims, or liabilities arising from the content submitted by users.

You retain whatever ownership or rights you already hold in your images and processed outputs. Preparya does not claim ownership of your customer images simply because you use the service.

You grant Preparya only the limited rights necessary to receive, store, process, and deliver your images and outputs for the purpose of providing the service you requested.

3. How Images Are Processed

Preparya processes images only as necessary to provide the image-processing functionality requested by the user.

Depending on the feature and device capabilities, processing may occur in your browser, on Preparya-controlled infrastructure, or through a Preparya-controlled server-side fallback.

Preparya does not send customer image contents or processed outputs to external image-processing APIs or third-party AI providers as part of the current processing workflow.

Preparya does not use customer images or derived visual data to train AI models or create training datasets.

Preparya does not manually inspect customer images as part of normal service operation.

These statements describe the current operation of the service and may be updated if the technical architecture changes in the future.

4. Storage and File Availability

Preparya stores project files and processed outputs on private infrastructure that is not publicly accessible without authorization.

Preparya is not a backup, archive, or permanent storage service.

You are responsible for keeping copies of any original files or outputs that are important to you.

Preparya does not guarantee that project files or images will remain stored or available for more than 30 days.

Files and projects may remain available beyond 30 days, but Preparya may delete them at any time after that period.

Temporary uploads and temporary download archives may be deleted earlier as part of normal system cleanup.

If you delete a project or account, associated files and records may be permanently removed.

5. Processing Results

Preparya is designed to provide reliable image-processing tools, but image processing can depend on source quality, file format, browser or device capabilities, system resources, and other technical factors.

We do not guarantee that every operation will succeed, that every output will be error-free, or that a processed image will be suitable for every intended purpose.

You are responsible for reviewing processed outputs before relying on them in production, publishing, advertising, printing, commerce, or other important workflows.

6. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account.

You must not share credentials in a way that allows unauthorized access to the service.

You must provide accurate account information where required and keep information reasonably current.

7. Plans, Usage Limits, and Quotas

Preparya may offer free and paid plans with different usage limits, quotas, processing limits, batch limits, or feature access.

The specific pricing, limits, and included usage presented to you when you subscribe or use the service form part of the applicable plan terms.

Preparya may change available plans, features, quotas, or limits over time in accordance with these Terms.

You may not intentionally bypass, manipulate, evade, or circumvent plan restrictions, quotas, rate limits, or technical usage limits.

Using multiple accounts, automated techniques, or other methods primarily to evade Free plan or paid plan limits is considered abuse of the service.

8. Paid Subscriptions

Paid subscriptions operate on recurring 30-day billing cycles unless canceled.

By purchasing a recurring paid subscription, you authorize the applicable third-party payment provider to process recurring charges according to the plan and price presented to you.

You may cancel a paid subscription at any time. Cancellation prevents future renewals but does not automatically terminate access to a period already paid for.

Unless a refund is approved under the Preparya Refund Policy, your paid plan normally remains active until the end of the current paid billing cycle.

9. Price Changes

Preparya may change subscription pricing in the future.

A price change will not alter the price of a billing cycle that has already been paid.

Where a price increase applies to a future renewal, we will provide reasonable advance notice before the new price is charged, allowing you to cancel before that renewal.

10. Refunds

Refund eligibility is governed by the separate Preparya Refund Policy.

Canceling a subscription does not automatically create a right to a refund.

Where an account is suspended or terminated because of fraud, abuse, circumvention of service limits, or another material violation of these Terms, the user is not entitled to a refund solely because access was suspended or terminated, except where applicable law requires otherwise.

11. Prohibited Use

You must not use Preparya to:

  • violate applicable law or the legal rights of another person;
  • attack, disrupt, overload, interfere with, or damage the service or its infrastructure;
  • attempt to gain unauthorized access to accounts, systems, networks, or data;
  • introduce malware, malicious code, harmful files, or other destructive material;
  • reverse engineer, probe, exploit, or attempt to defeat security or usage controls except where such activity is expressly permitted by applicable law;
  • automate requests or usage in a manner intended to abuse the service or avoid applicable limits;
  • manipulate quotas, reservations, billing records, processing records, or usage measurement;
  • create or use multiple accounts primarily to circumvent service limits;
  • resell, sublicense, or provide unauthorized shared access to Preparya accounts or paid features;
  • use the service in a fraudulent, abusive, or deceptive manner.

This list is not exhaustive. Conduct that creates a material security, operational, legal, or abuse risk may also be restricted.

12. Suspension and Termination

Preparya may suspend, restrict, or terminate an account without prior notice where we reasonably determine that the account is involved in:

  • fraud;
  • abuse of the service;
  • circumvention of quotas or usage limits;
  • a material violation of these Terms;
  • activity that threatens the security or stability of Preparya;
  • unauthorized access or attempted exploitation;
  • harmful or unlawful activity.

Where suspension or termination results from the user's violation of these Terms, Preparya is not required to refund amounts already paid, except where required by applicable law.

You may stop using Preparya at any time.

13. Service Changes and Discontinuation

Preparya may update, improve, replace, or modify features as the service evolves.

If we decide to permanently discontinue Preparya or a material paid service in a way that significantly affects active paid users, we intend to provide at least 30 days' notice where reasonably possible.

This 30-day notice commitment does not apply to:

  • emergency security actions;
  • temporary outages;
  • maintenance;
  • technical failures;
  • legal or regulatory requirements;
  • fraud-prevention measures;
  • circumstances outside Preparya's reasonable control.

Where a paid service is discontinued by Preparya and the user cannot reasonably receive the remaining service they paid for, we may provide an appropriate refund or other remedy.

14. Third-Party Services

Preparya may rely on third-party services for functions such as payment processing, authentication, infrastructure, or other supporting services.

Your use of those third-party services may also be subject to their own terms and policies.

Preparya is not responsible for outages, failures, delays, or actions caused solely by third-party services outside our reasonable control, except where applicable law provides otherwise.

15. Intellectual Property

Preparya and its licensors retain all rights in the Preparya service itself, including its software, branding, interface, design, documentation, and other proprietary materials.

These Terms do not transfer ownership of Preparya's intellectual property to you.

You may not copy, reproduce, distribute, sell, license, or exploit Preparya's proprietary software, branding, or service except as permitted by law or with our authorization.

Nothing in this section changes your rights in images or content you submit to the service.

16. Availability and Disclaimer

Preparya is provided as an online software service and may occasionally be unavailable due to maintenance, failures, updates, network conditions, security measures, or circumstances outside our control.

We do not guarantee uninterrupted availability or that every feature will operate without interruption or error.

To the maximum extent permitted by applicable law, Preparya is provided without warranties beyond those expressly stated in these Terms.

We do not guarantee that the service or any image output will meet a particular commercial, technical, legal, publishing, advertising, or other specific purpose.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Preparya will not be liable for indirect, incidental, special, consequential, or similar damages arising from or related to your use of the service.

This includes, where legally permitted, loss of profits, revenue, business opportunities, goodwill, anticipated savings, data, or business interruption.

For a paid user, Preparya's total aggregate liability arising from or related to the service will not exceed the total amount that user paid to Preparya during the 12 months immediately preceding the event giving rise to the claim.

For users of the Free plan, liability is limited to the maximum extent permitted by applicable law.

These limitations do not apply where liability cannot legally be limited or excluded.

18. Changes to These Terms

Preparya may update these Terms from time to time.

Minor, administrative, or clarifying changes may take effect when updated Terms are published.

If we make a material change that significantly affects user rights or obligations, we will provide reasonable notice through email, the service, or another appropriate method before the change takes effect where required or reasonably practicable.

Continuing to use Preparya after updated Terms become effective means you accept the updated Terms, subject to rights that cannot legally be waived.

19. Age Requirement

Preparya is not intended for children.

You may use Preparya only if you are at least 18 years old, or otherwise have reached the legal age required to enter into a binding agreement in your jurisdiction.
